These Website Terms do NOT govern any actual engagement between you and Aperion for Services — that relationship is governed by the separate, signed Service Terms & Conditions, Proposal/SOW, Data Processing Agreement, and Service Policy that apply to each Engagement.
By accessing or using the Website, you agree to these Website Terms. If you do not agree, please do not use the Website.
1. Who We Are

2. Acceptance of These Terms
By accessing, browsing, or using the Website (including submitting an inquiry or “Get Diagnostic” request), you acknowledge that you have read, understood, and agree to be bound by these Website Terms and by our Privacy Policy (published at aperion.ae/privacy).
If you are using the Website on behalf of a business, organisation, or other legal entity, you represent that you have the authority to bind that entityto these Website Terms, and references to “you” in these Website Terms include that entity.
3. Informational Use Only — Not a Contract for Services
The Website and its content are provided for general informational and marketing purposes only. Nothing on the Website:
- constitutes an offer by Aperion to provide Services to you or to any other person;
- constitutes a contract between you and Aperion for the provision of Services;
- constitutes legal, financial, tax, medical, or professional advice, or advice on which you should rely without seeking appropriate professional counsel; or
- creates any enforceable obligation on Aperion to deliver any specific service, outcome, performance level, or result.
A contract between you and Aperion for Services arises only on countersignature by both parties of a written Proposal/SOW, together with your acceptance of the Service Terms & Conditions and the Data Processing Agreement, and your payment of the Advance Payment. Until all of those steps have been completed, no contractual relationship exists between you and Aperion for Services.
4. Informational and Aspirational Nature of Website Content
4.1 Aspirational statements
Any statements on the Website regarding Aperion's capabilities, methodology, outcomes, performance metrics, response time, uptime, processing speed, return on investment, or similar indicators are provided as aspirational targets and illustrative examples only. Such statements:
- do not constitute service-level commitments, warranties, or guarantees;
- do not reflect specific performance achieved for any specific client or Engagement;
- may vary significantly based on the specific requirements, constraints, and context of any actual Engagement; and
- are subject to change without notice as Aperion refines its offering.
4.2 Specific commitments only in signed documents
Any binding service-level commitment, uptime guarantee, performance metric, or quantitative result for an Engagement is only created where expressly set out in a signed Proposal/SOW, with a clearly defined measurement methodology, a clearly defined remedy (subject to the liability cap in the Service Terms & Conditions), and a clearly defined exclusions list. No such commitment is created, or may be implied, by anything on the Website.
4.3 Case studies and testimonials
Any case studies, testimonials, client references, or illustrative outcomes published on the Website:
- reflect the specific circumstances and requirements of the specific client described, and should not be relied upon as an indication of outcomes achievable in any other engagement;
- are published with the client's permission; and
- do not create any commitment, promise, or warranty as to what Aperion will deliver for you.
5. Intellectual Property on the Website
5.1 Aperion's ownership
All content on the Website — including text, graphics, images, logos, icons, colour palette, brand assets, design system, typography choices, page layouts, case studies, blog posts, code samples, and software — is the intellectual property of Aperion (or of its licensors) and is protected by UAE copyright, trademark, and other intellectual-property laws.
5.2 Your limited licence
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and view the Website for your own personal or internal business evaluation purposes.
5.3 Restrictions
You shall not:
- copy, reproduce, republish, distribute, or transmit any content from the Website, except for short excerpts for personal evaluation or fair-use commentary with proper attribution;
- modify, adapt, translate, reverse-engineer, or create derivative works of any Website content;
- use the Website or any of its content for any commercial purpose without Aperion's prior written consent, except for the purpose of evaluating whether to engage Aperion for Services;

“Aperion”, the Aperion wordmark, and associated brand elements are trade marks of Aperion. You may not use any Aperion trade mark without our prior written consent, except in fair-use references that accurately identify Aperion.
6. Acceptable Use of the Website
You agree that, in your use of the Website, you will not:
- use the Website in any manner that violates applicable law or regulation, in the UAE or in any other jurisdiction;
- engage in any activity that is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;
- interfere with or disrupt the Website, its servers, networks, or security;
- attempt to gain unauthorised access to any portion of the Website, related systems, or any user account;
- use the Website to distribute spam, viruses, malware, ransomware, or other malicious code;

7. Inquiry Form and “Get Diagnostic” Submissions
7.1 Information you provide
When you submit the inquiry form or “Get Diagnostic” request, you warrant that the information you provide is true, accurate, current, and complete, and that you have authority (where applicable) to provide information about the business or entity on whose behalf you are inquiring.
7.2 No obligation to respond or engage
Aperion receives a large volume of inquiries and reserves the right to decline, at its sole discretion, to:
- respond to any particular inquiry;
- schedule a diagnostic session with any particular inquirer;
- propose an Engagement to any particular prospective client; or
- engage with any particular business or entity, for any reason or no reason, provided the reason is not unlawfully discriminatory.
Declining to engage does not give rise to any obligation, liability, or claim on Aperion's part.
7.3 Diagnostic session terms
If a diagnostic session is scheduled, it is governed by the diagnostic session terms in the Service Policy (complimentary, mutual confidentiality, no deliverable owed, no contractual obligation until a Proposal/SOW is signed).
8. Third-Party Links and Content
The Website may contain links to third-party websites, services, tools, or resources. These links are provided for your convenience only, and Aperion does not:
- endorse any linked third-party website or its content;
- control or monitor the content, accuracy, or practices of linked third-party websites;
- assume any responsibility or liability for third-party content or practices.
Your use of any third-party website is at your own risk and is subject to the terms and privacy practices of that third-party website.
9. Disclaimers
9.1 Website provided “as-is” and “as-available”
To the maximum extent permitted by applicable law, the Website and all of its content are provided on an “as-is” and “as-available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. Aperion disclaims all warranties, including (without limitation):
- warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy;

10. Limitation of Liability for Website Use
10.1 Exclusion of damages
To the maximum extent permitted by applicable law, Aperion shall not be liable to you or to any third party for any:
- indirect, consequential, incidental, special, exemplary, or punitive damages;
- loss of profit, revenue, business, goodwill, data, or anticipated savings;
- business interruption or loss of use of any system;
- damages arising from your inability to access or use the Website;
- damages arising from any third-party content or conduct on or through the Website; or
- damages arising from any decision you make in reliance on Website content,
in each case, however caused and regardless of the theory of liability, and whether or not Aperion has been advised of the possibility of such damages.
10.2 Maximum aggregate liability
To the maximum extent permitted by applicable law, Aperion's total aggregate liability to you in connection with your use of the Website, arising in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed one hundred UAE dirhams (AED 100), being a nominal amount reflecting that the Website is provided free of charge and that no contractual services are created by your use of the Website alone.
10.3 Statutory carve-outs
Nothing in Clauses 9 or 10 excludes or limits liability for: (i) fraud or fraudulent misrepresentation; (ii) gross negligence; (iii) death or personal injury; or (iv) any liability that, under the mandatory laws of the United Arab Emirates, cannot lawfully be excluded or limited (including under UAE Civil Code Arts. 185, 198, and 296).
11. Indemnification
You agree to indemnify, defend, and hold harmless Aperion (and its personnel, founders, and authorised representatives) from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- your breach of these Website Terms;
- your violation of any applicable law or regulation in your use of the Website;
- your violation of any third-party right, including any intellectual-property, privacy, or publicity right;
- false, inaccurate, or misleading information you submit to Aperion through the Website; or
- your misuse of Website content, including unauthorised copying, AI-model training, or commercial exploitation.
12. Changes to the Website and these Terms
Aperion reserves the right, at any time, to:
- modify, update, suspend, or discontinue the Website or any part of it, with or without notice;
- update these Website Terms from time to time. The updated Website Terms will be published on the Website with a revised effective date. For material changes, we will take reasonable steps to highlight the change (for example, by a website banner). Your continued use of the Website after the updated Website Terms become effective constitutes your acceptance of the updated Terms.
If you do not agree to an updated version of the Website Terms, you must stop using the Website.
13. Termination of Access
Aperion may, at its sole discretion, suspend or terminate your access to the Website at any time, with or without notice, where you breach these Website Terms, misuse the Website, or engage in conduct that Aperion reasonably determines is harmful to Aperion, to other users, or to the Website. Termination of access does not affect any accrued rights or obligations.
14. Governing Law and Jurisdiction
These Website Terms are governed by the laws of the United Arab Emirates (federal laws and, where applicable, the laws of the Emirate of Abu Dhabi), without regard to its conflict-of-laws principles.
Any dispute arising out of or in connection with your use of the Website shall be subject to the exclusive jurisdiction of the Abu Dhabi Courts (Abu Dhabi Judicial Department — ADJD). The Parties acknowledge that proceedings before the Abu Dhabi Courts are conducted in Arabic.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Website Terms.
15. Entire Agreement and Severability
These Website Terms, together with the Privacy Policy (published at aperion.ae/privacy), constitute the entire agreement between you and Aperion in respect of your use of the Website, and supersede all prior understandings, communications, and agreements relating to your use of the Website.
If any provision of these Website Terms is held to be invalid, illegal, or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect.
16. No Waiver
No failure or delay by Aperion in exercising any right or remedy under these Website Terms shall operate as a waiver of that right or remedy.
17. Assignment
Aperion may assign these Website Terms at any time. You may not assign these Website Terms without Aperion's prior written consent.
